These Terms of Service ("Terms") govern your access to and use of the website, the Rung CLI, and related services (the "Services") provided by [LEGAL ENTITY NAME] ("Ashigo", "we", "us"). By using the Services you agree to these Terms.
1. The Services
Ashigo provides an AI assistant for operational technology (OT) environments. The reasoning runs on our backend; tools execute on your machine with your approval. The Services may change over time.
2. Accounts
You must provide accurate information and keep your credentials secure. You are responsible for activity under your account. Accounts are managed through our identity provider.
3. Subscriptions, billing, and cancellation
- Paid plans are billed in advance on a recurring basis through Stripe and renew automatically until cancelled.
- You can cancel at any time; cancellation takes effect at the end of the current billing period.
- Fees are non-refundable except where required by law or expressly stated.
- We may change pricing with reasonable notice; changes apply to subsequent billing periods.
- Plans may include usage limits; usage beyond included limits may be restricted or billed as described at purchase.
4. Acceptable use
You agree not to:
- use the Services unlawfully or to harm others;
- access systems or data you are not authorized to access;
- attempt to breach, probe, or circumvent security or capability controls;
- reverse engineer, resell, or misrepresent the Services;
- exceed rate limits or otherwise disrupt the Services.
5. Operational technology — your responsibility
You are solely responsible for any action taken on your systems. The Services may suggest, and with your approval execute, commands and reads against your equipment and networks. Although the CLI defaults to read-only toward control systems and requires approval for sensitive actions, the assistant can make mistakes. You must:
- review every action before approving it, especially anything that writes to or changes a live control system;
- maintain appropriate safety, backup, and change-management procedures;
- ensure you have authorization to operate on the relevant systems.
The Services are tools to assist qualified personnel; they are not a substitute for engineering judgment, safety systems, or established OT procedures.
6. Intellectual property
We retain all rights in the Services. You retain rights in the content you submit. You grant us the limited rights needed to operate the Services and process your requests.
7. Third-party services
The Services rely on third parties (e.g., Anthropic, Mistral AI, Clerk, Stripe, hosting providers). Their terms and availability may affect the Services, and we are not responsible for their acts or omissions.
8. Disclaimer of warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that outputs are accurate or that the Services will be uninterrupted or error-free, or suitable for safety-critical use.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASHIGO AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, PRODUCTION, OR DOWNTIME, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICES IN THE [12] MONTHS BEFORE THE CLAIM.
10. Indemnification
You agree to indemnify and hold Ashigo harmless from claims arising out of your use of the Services, your content, or your violation of these Terms or applicable law.
11. Termination
You may stop using the Services at any time. We may suspend or terminate access for breach of these Terms, non-payment, or to protect the Services. Sections that by their nature should survive termination will survive.
